Welcome to Znx Media. These Terms of Service ("Terms") govern your access to and use of the services, website, and platform provided by Znx Media ("Company," "we," "us," or "our"). By engaging our services, submitting a campaign brief, signing up as an influencer, or using our website at znxmedia.com, you agree to be bound by these Terms in their entirety.
Please read these Terms carefully. If you do not agree with any part of these Terms, you must discontinue use of our services immediately.
1 Definitions
- "Client" / "Brand" refers to any business, company, or individual that engages Znx Media to plan, execute, or manage influencer marketing campaigns.
- "Influencer" / "Creator" refers to any individual who registers with Znx Media's creator network to participate in brand collaborations and sponsored content campaigns.
- "Campaign" refers to any influencer marketing project, including but not limited to content creation, sponsored posts, product reviews, stories, reels, and any other form of digital promotion.
- "Platform" refers to Znx Media's website, tools, dashboards, analytics systems, and any related digital infrastructure.
- "Content" refers to any text, images, videos, audio, graphics, or other materials created as part of a Campaign.
- "Services" refers to all influencer marketing, campaign management, analytics, strategy consulting, and related services provided by Znx Media.
2 Eligibility
To use our Services, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction.
- Have the legal authority to enter into binding contracts.
- If acting on behalf of a company or organization, have the authority to bind that entity to these Terms.
- Provide accurate, truthful, and complete information during registration or campaign engagement.
We reserve the right to refuse service or terminate accounts at our sole discretion if eligibility requirements are not met.
3 Scope of Services
Znx Media provides influencer marketing services, including but not limited to:
- Campaign strategy, planning, and creative briefing.
- Influencer discovery, vetting, and shortlisting.
- Campaign execution, coordination, and management.
- Content review and approval on behalf of the Client.
- Campaign analytics, performance tracking, and reporting.
- Influencer relationship management, contract negotiation, and payment processing.
The specific scope of Services for each engagement shall be defined in the applicable campaign brief, proposal, or service agreement.
4 Client Obligations
By engaging Znx Media, the Client agrees to:
- Provide Accurate Information: Supply truthful and complete information about brand guidelines, campaign objectives, target audience, product details, and any legal or regulatory requirements applicable to the promoted product or service.
- Timely Approvals: Review and approve or provide feedback on campaign deliverables (influencer shortlists, content drafts, posting schedules) within the agreed timelines. Delays caused by Client's failure to respond may impact campaign schedules without liability to Znx Media.
- Legal Compliance: Ensure that all products, services, and promotional claims comply with applicable laws, including advertising standards, consumer protection laws, and industry-specific regulations.
- Payment: Make payments in accordance with the agreed payment terms. Failure to make timely payments may result in campaign suspension or termination.
- Brand Safety: Disclose any known risks, controversies, or legal issues associated with the brand or product that may affect the campaign or the safety of participating influencers.
- Lawful Products & Services: The Client represents and warrants that any product or service submitted for promotion is lawful and permitted to be advertised under applicable laws and regulations. Campaigns related to illegal products, narcotics, controlled substances, or any goods/services prohibited by government authorities will not be accepted or promoted on the platform.
5 Influencer Obligations
By joining Znx Media's creator network, the Influencer agrees to:
- Authentic Representation: Provide accurate information about follower counts, audience demographics, engagement metrics, and niche. Misrepresentation of any kind, including inflated metrics or purchased followers, is strictly prohibited and grounds for immediate removal.
- Content Quality & Guidelines: Produce content that meets the agreed-upon brand guidelines, creative brief, and quality standards. All content must be original and not infringe upon any third-party intellectual property rights.
- Disclosure & Transparency: Comply with all applicable advertising disclosure laws and platform policies. This includes, but is not limited to, using appropriate hashtags such as #Ad, #Sponsored, #Paid, or #Partnership, and utilizing platform-native paid partnership labels where applicable.
- Timely Delivery: Submit content drafts and publish approved content within the agreed timeline. Repeated failures to meet deadlines may result in reduced compensation or removal from the network.
- Exclusivity: Where an exclusivity clause is part of the campaign agreement, refrain from promoting competing brands or products during the specified exclusivity period.
- Account Integrity: Maintain the authenticity and integrity of social media accounts. Any use of bots, click farms, engagement pods, or automated tools to artificially inflate metrics is strictly prohibited.
- Compliance with Platform Policies: Adhere to the terms and community guidelines of all social media platforms on which content is published.
6 Intellectual Property Rights
6.1 Campaign Content
Unless otherwise agreed in writing:
- Content created by Influencers as part of a Campaign shall be licensed to the Client for the purpose and duration specified in the campaign agreement.
- The Client may use, reproduce, modify, and distribute campaign content across agreed channels (social media, website, advertisements, etc.) for the licensed period.
- The Influencer retains the right to display the content on their own social media profiles unless otherwise restricted by the campaign agreement.
6.2 Znx Media's Intellectual Property
All intellectual property owned by Znx Media, including but not limited to our brand name, logo, website design, analytics tools, AI models, proprietary algorithms, campaign methodologies, reports, and any proprietary technology, remains the exclusive property of Znx Media. No Client or Influencer is granted any ownership rights to Znx Media's intellectual property through the use of our Services.
6.3 Client's Intellectual Property
The Client retains all rights to their brand assets, trademarks, logos, and proprietary materials provided to Znx Media for campaign purposes. The Client grants Znx Media a limited, non-exclusive license to use such materials solely for campaign execution and portfolio/case study purposes unless expressly restricted.
7 Payments & Fees
7.1 Client Payments
- All fees for Services shall be as quoted in the campaign proposal or service agreement.
- Payments are due as per the schedule outlined in the agreement (e.g., advance, milestone-based, or upon completion).
- All fees are quoted in the currency specified in the campaign proposal or service agreement (INR or USD), and are exclusive of applicable taxes.
- Late payments may attract an interest charge of 1.5% per month on the outstanding amount.
- Znx Media reserves the right to suspend active campaigns if payment obligations are not met within 15 days of the due date.
7.2 Influencer Payments
- Influencer compensation shall be as agreed in the campaign contract and is subject to successful completion of all campaign deliverables.
- Payments to Influencers will be processed within 15–30 business days of campaign completion and Client payment receipt.
- Znx Media shall not be liable for payment delays caused by the Client's failure to settle invoices.
- All applicable taxes shall be deducted at source as required by the laws of the applicable jurisdiction.
7.3 Refund Policy
- Campaign fees are generally non-refundable once campaign execution has commenced.
- If Znx Media fails to deliver agreed Services due to factors within its control, a proportional refund or credit may be offered at Znx Media's discretion.
- Refund requests must be submitted in writing within 7 days of the event giving rise to the claim.
8 Campaign Performance & Disclaimers
While Znx Media uses commercially reasonable efforts to optimize campaign performance:
- No Guaranteed Results: We do not guarantee specific outcomes such as follower growth, engagement rates, impressions, conversions, sales, or ROI. Campaign performance is influenced by numerous factors including content quality, audience receptiveness, platform algorithms, market conditions, and product-market fit.
- Estimates Are Non-Binding: Any performance estimates, projections, or benchmarks shared during the proposal stage are based on historical data and are provided for reference only. They do not constitute contractual guarantees.
- Third-Party Platforms: Znx Media is not responsible for changes in social media platform algorithms, policies, outages, or any actions taken by platforms (e.g., account suspensions, content removal) that may affect campaign delivery or performance.
- Data Accuracy: While we strive for accuracy, analytics and sentiment data are generated using AI models and third-party APIs that may contain inherent biases or inaccuracies. Data is provided "as is" for informational purposes.
9 Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the engagement, including but not limited to:
- Campaign strategies, budgets, and internal performance data.
- Client's unreleased products, pricing, and marketing plans.
- Influencer payment rates and contract terms.
- Znx Media's proprietary tools, algorithms, and methodologies.
This obligation of confidentiality shall survive the termination of the engagement for a period of two (2) years unless the information becomes publicly available through no fault of the receiving party.
10 Data Privacy & Protection
Znx Media is committed to protecting your personal data. By using our Services:
- We collect and process personal data (name, email, phone number, social media handles, audience analytics) as necessary to provide our Services.
- Personal data is stored securely and is not sold or shared with unauthorized third parties.
- We use analytics tools and AI systems to process campaign data. This data is used solely for campaign optimization and reporting purposes.
- You have the right to request access to, correction of, or deletion of your personal data by contacting us at znxmediaofficial@gmail.com.
- We comply with applicable data protection laws including the Information Technology Act, 2000 (India) and any successor legislation.

11 Content Standards & Prohibited Content
All content created or distributed through Znx Media's campaigns must comply with the following standards. Content must not:
- Be false, misleading, deceptive, or make unsubstantiated claims about a product or service.
- Contain hate speech, discriminatory content, or content that promotes violence against any individual or group.
- Include sexually explicit, obscene, or pornographic material.
- Infringe upon any third party's intellectual property rights, including copyrights, trademarks, or patents.
- Violate any applicable laws or regulations, including advertising standards set by ASCI (Advertising Standards Council of India) or equivalent authorities.
- Promote illegal activities, substances, or products prohibited by law.
- Contain malware, spam, or any harmful code or links.
- Misrepresent the relationship between the Influencer and the Brand, or fail to disclose the commercial nature of the content.
Znx Media reserves the right to reject, remove, or request modifications to any content that violates these standards.
12 Non-Circumvention
During the term of engagement and for a period of twelve (12) months following the last campaign:
- Clients shall not directly contact, negotiate with, or engage any Influencer introduced by Znx Media for campaign purposes, without Znx Media's prior written consent.
- Influencers shall not directly solicit or accept campaign work from any Client introduced by Znx Media, bypassing Znx Media's involvement.
In the event of a breach of this clause, the breaching party shall be liable to pay Znx Media a circumvention fee equal to 25% of the total campaign value that was or would have been contracted through Znx Media.
13 Termination
13.1 Termination by Client
The Client may terminate the engagement by providing 14 days' written notice. Upon termination:
- The Client shall pay for all Services rendered and expenses incurred up to the date of termination.
- Any advance payments for unexecuted portions of the campaign may be refunded on a pro-rata basis, less any cancellation fees or committed influencer costs.
13.2 Termination by Znx Media
Znx Media may terminate the engagement immediately if:
- The Client fails to make payments within 15 days of the due date.
- The Client's product, service, or conduct poses brand safety risks to Znx Media or its influencer network.
- The Client breaches any material term of these Terms or the campaign agreement.
13.3 Influencer Removal
Znx Media reserves the right to remove any Influencer from its network at any time, with or without cause, including but not limited to:
- Use of fake followers, bots, or engagement manipulation.
- Repeated failure to meet deadlines or quality standards.
- Violation of content standards or platform guidelines.
- Any conduct that damages the reputation of Znx Media, its Clients, or the network.
14 Limitation of Liability
To the maximum extent permitted by applicable law:
- Znx Media's total aggregate liability for any claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by the Client to Znx Media in the six (6) months preceding the claim.
- Znx Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities.
- Znx Media is not liable for the actions, statements, or conduct of any Influencer outside the scope of the campaign, including but not limited to personal opinions, post-campaign content, or off-platform behavior.
- Znx Media is not liable for any damages arising from factors beyond its reasonable control, including but not limited to platform outages, algorithm changes, internet disruptions, or force majeure events.
15 Indemnification
You agree to indemnify, defend, and hold harmless Znx Media, its directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms or any campaign agreement.
- Any content you create, publish, or distribute in connection with the Services.
- Any violation of applicable laws, regulations, or third-party rights.
- Any claims arising from the products or services promoted through a campaign.
- Any misrepresentation or fraud committed by you.
16 Force Majeure
Neither party shall be liable for any failure or delay in performing their obligations under these Terms if such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to natural disasters, pandemics, wars, government actions, internet outages, platform shutdowns, cyberattacks, or any other force majeure event. The affected party shall notify the other party promptly and make reasonable efforts to mitigate the impact.
17 Non-Disparagement
Both parties agree not to make any public statements, social media posts, or communications that are intended to or reasonably likely to disparage, defame, or damage the reputation of the other party, its employees, directors, products, or services.
18 Governing Law & Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of India.
- Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably through good-faith negotiation within 30 days.
- If the dispute cannot be resolved amicably, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in English, with the seat of arbitration being India.
- The courts of India shall have exclusive jurisdiction over any disputes not resolved through arbitration.
19 Modifications to Terms
Znx Media reserves the right to modify, update, or amend these Terms at any time. Changes will be effective upon posting on our website with an updated "Last updated" date. Continued use of our Services after any such changes constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify active Clients and Influencers via email.
20 General Provisions
- Entire Agreement: These Terms, together with any applicable campaign agreements, proposals, and service contracts, constitute the entire agreement between the parties and supersede all prior agreements, understandings, and representations.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without Znx Media's prior written consent. Znx Media may assign its rights and obligations without restriction.
- Independent Contractors: The relationship between Znx Media and any Client or Influencer is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
- Notices: All formal notices under these Terms shall be sent in writing via email to the addresses provided during engagement. Notices to Znx Media should be sent to znxmediaofficial@gmail.com.
